What is Management Liability insurance
and what does it cover?

Management liability insurance, or Directors’ and Officers’ (D&O) liability insurance is insurance cover that offers financial protection to those who are the director, partner, officer or manager of a business. It is designed to cover the cost of claims for compensation made against the insured individual.

A basic D&O Insurance policy provides 2 areas of cover:
Claims Made Against The Directors

Insured
Person

This covers the defence costs and damages
an individual incurs if the company is
unable/will not defend the insured person.
Known as ‘Side A cover’

Company Reimbursement

This covers the Company’s costs if it legally
obligated or permitted to defend the Insured
Person from a claim made against them.
Known as ‘Side B cover’

Claims Made Against the Company

There are additional areas of coverage available in a D&O insurance policy,not included as standard

Corporate Liability

This covers claims against the
company which are not
related to the provision of
services.

Securities Liability

This covers securities claims
against a company if it’s
shares are publicly listed.

Employment Practices Liability

This covers claims from
employees for employed
related acts against the

This covers claims against
pensions or plans as well as
their insured persons that is
set up by the company but a
non-related legal entity.

Public Offering Liability

This covers the process of a
firm listing securities or
bonds on the public markets
and the liability emanating
from such a process.

Transaction Liability

This is cover for a company
wishing to undertake a
transaction of some kind, for
sell side or buy side it covers
liability from a SPA.
